Vendor responsibilities

You are an independent business and the seller of record for every share you list. You are responsible for sourcing cattle, processing, packaging, labeling, storage, delivery, customer communication on order issues, and full regulatory compliance.

USDA / state inspection requirements

Listings must be processed under a valid USDA or recognized state inspection program. Custom-exempt sales must be clearly disclosed as such on the listing. You must keep your inspection number and certificates current and uploaded in your vendor profile.

Delivery & fulfillment obligations

Once an order is paid in full, you must schedule delivery within the lead time published on the listing and complete delivery in a refrigerated/frozen vehicle that maintains cold-chain integrity to the customer's door.

Packaging standards

Cuts must be vacuum-sealed or paper-wrapped per industry standard, individually labeled with cut name and weight, and frozen solid prior to handoff. Damaged or thawed packages are your responsibility to replace.

Payout timing & fund flow

Pasture collects a 25% non-refundable deposit from the customer at checkout. Pasture retains a portion of that deposit equal to its 10% platform commission as an advance and releases the remainder of the deposit to you immediately so you can schedule processing and reserve cold-chain capacity.

All installment payments collected after the deposit are held by Pasture until the customer (or you, or a Pasture admin) confirms delivery. Upon confirmation, Pasture automatically finalizes any remaining commission and releases the held funds to you via the platform's payout pipeline, less platform fees and any recorded refunds.

Platform fees

Pasture's platform commission is 10% of each order's total. Standard Stripe processing fees also apply. The exact rate is shown in your vendor dashboard and on each payout receipt.

Non-circumvention

A "Pasture-Originated Customer" is any customer who first discovered, contacted, or transacted with you through the Pasture platform, or who was introduced to you by Pasture in any form (including marketplace listing views, inquiries, quotes, reservations, or completed orders).

For a period of twenty-four (24) months following a Pasture-Originated Customer's most recent interaction or order with you on the platform, you agree not to solicit, accept, fulfill, invoice, or otherwise transact with that customer for beef, beef shares, processing, or related services off-platform — including via cash, check, ACH, Venmo, Zelle, direct invoicing, your own website, social DMs, or any other channel that bypasses Pasture — unless Pasture receives its standard platform commission on the gross value of that transaction.

If an off-platform transaction occurs with a Pasture-Originated Customer during the 24-month period, you must (a) report the transaction to Pasture within seven (7) days, and (b) remit Pasture's standard commission on the gross value within thirty (30) days of the transaction. Pasture may invoice you directly for unpaid commissions and recover collection costs and reasonable attorneys' fees.

Customers always remain free to choose any vendor they wish; this clause restricts your conduct, not the customer's, and exists solely to protect the platform investment that introduced the customer to you.

Confidentiality

In the course of using Pasture, you may receive non-public information including customer contact details, order history, payment plan terms, pricing data, platform analytics, fee structures, internal product roadmaps, and other business information (collectively, "Confidential Information"). You agree to use Confidential Information solely to fulfill orders placed through the platform.

You will not disclose, sell, share, scrape, export, or reuse Confidential Information for any purpose outside the platform, including building competing marketing lists, enrolling customers in third-party services, or transferring data to other vendors or brokers. Customer contact details obtained through Pasture may not be added to your own marketing database without the customer's separate, explicit opt-in obtained outside of any required order communication.

Confidentiality obligations survive termination of your vendor account indefinitely for so long as the information remains non-public.

Enforcement

You acknowledge that breaches of the non-circumvention or confidentiality provisions would cause Pasture irreparable harm for which monetary damages alone would be inadequate. Pasture is therefore entitled to seek injunctive relief and specific performance in addition to monetary remedies, without posting bond, in any court of competent jurisdiction.

Liquidated damages for a confirmed off-platform transaction with a Pasture-Originated Customer during the 24-month restricted period are set at the greater of (i) Pasture's standard commission on the transaction's gross value, or (ii) $500 per transaction, plus interest at the lesser of 1.5% per month or the maximum rate permitted by law. You also agree to pay Pasture's reasonable attorneys' fees, court costs, and collection expenses incurred to enforce this Agreement.

Pasture may suspend or terminate your vendor account, withhold pending payouts up to the amount reasonably owed, and report unpaid balances to collections upon a good-faith determination of a material breach. Disputes are resolved under the governing-law and venue terms set forth in the Terms of Use.

Indemnification of Pasture

You agree to indemnify, defend, and hold harmless Pasture from any claim arising out of your products, processing, packaging, labeling, storage, delivery, employees, regulatory compliance, or breach of the non-circumvention or confidentiality obligations above.

Suspension & termination

Pasture may suspend or remove a vendor at any time for safety incidents, expired inspection, repeat fulfillment failures, customer complaints, or fraud. Open orders continue to be your obligation through delivery or refund.
