Terms of Use

The agreement between you and Pasture.Food

1. Platform role

Pasture.Food (“Pasture,” “we,” “us”) operates an online reserve commerce marketplace that connects consumers (“customers,” “you”) with independent meat producers, USDA inspected processors, and independent couriers. Pasture is a technology enabled marketplace, a marketplace facilitator for sales tax purposes as described in Section 3, and the operator of a layaway prepayment program. Pasture is not a lender, a creditor, a money transmitter, a financial institution, a meat producer, a packer, a butcher, a warehouse, or a delivery carrier.

Pasture does not extend credit, charge interest, charge an annual percentage rate, originate loans, finance food, or carry receivables for customers. All references on the platform to “Pasture Reserve,” “reserve,” “reservation,” “pay over time,” “layaway,” “installment prepayment,” or “reservation deposits” describe a layaway prepayment program in which the customer prepays toward a future purchase. No goods are released to the customer until the customer has paid the full purchase price.

2. Roles on the marketplace

Pasture coordinates four independent counterparties on each transaction:

  • Producer. The rancher or farm that raises the source animal and lists a beef share for reservation.
  • Processor. The USDA inspected (or state inspected, or custom exempt) establishment that harvests, fabricates, cuts, packages, labels, and stores the finished product. The processor is the seller of record for the finished goods, as described in Section 3.
  • Courier. The independent delivery carrier that takes custody of the finished goods at the processor and tenders delivery to the customer under a logged cold chain.
  • Customer. The individual or household that places the reserve order, completes prepayments, and accepts delivery.

Pasture is not a producer, processor, courier, or customer. Pasture provides software, marketing, customer acquisition, reservation, payment facilitation, settlement administration, sales tax collection and remittance, and order management services.

3. Seller of record and marketplace facilitator

The processor is the seller of record for the finished beef product sold to the customer. The processor is responsible for product warranties, food safety, USDA labeling, recall, and customer service for the goods. The producer sells the live animal (or a beneficial interest in the live animal) to the processor; the producer is the seller of record for that upstream transaction and is responsible for on farm production, health attestation, and humane handling through delivery to the processor.

Pasture is a marketplace facilitator within the meaning of applicable state sales and use tax laws. Pasture calculates, collects, and remits sales and use tax on behalf of the processor in every jurisdiction where Pasture is required to do so, and the customer is shown the tax line at checkout before confirming the order. Pasture is not the seller of record for the goods, does not take title to any product, and does not warrant the goods. Tax categories, exemption treatment, and remittance schedules are governed by the laws of the ship to jurisdiction. Resale, exemption, or refund certificates must be submitted to Pasture at tax@pasturepayments.com.

4. Pasture Reserve layaway

Pasture Reserve is a layaway prepayment program. When you place a reserve order you authorize a non refundable reservation deposit and, if you choose a multi payment plan, a series of equal monthly prepayments toward the total purchase price. The schedule, deposit amount, number of prepayments, and final prepayment date are shown to you at checkout and on your order page before you confirm. A reservation is not a loan. No money is advanced to you. No interest, no finance charge, and no annual percentage rate is assessed. You are not borrowing funds. You are setting aside funds toward a future purchase. The processor is not obligated to deliver, and Pasture is not authorized to release funds for delivery, until the full purchase price has cleared.

5. Payments and Stripe Connect

Payment processing is provided by Stripe, Inc. through the Stripe Connect program. By using the platform you also agree to the Stripe Connected Account Agreement and the Stripe Services Agreement, which Stripe makes available at stripe.com/legal. You authorize Pasture and Stripe to charge your designated payment method for the deposit, for each scheduled monthly prepayment, and for any prepayment you elect to accelerate.

Failed payments may be retried automatically. If a prepayment cannot be collected after the retry window, the order may be marked in default. The deposit and any prepayments already collected may be forfeited as set forth in the Refund and Cancellation Policy. You may update your card on file or accelerate the remaining balance at any time from the customer dashboard.

6. Money handling and platform fee

Funds are handled in accordance with Stripe Connect workflows. Customer prepayments are received into Stripe and remain associated with the order until fulfillment is approved. Pasture earns a platform fee of ten percent of the beef purchase price, plus the applicable Stripe processing fees. The platform fee is disclosed at checkout and on the customer order page. Pasture does not act as a money transmitter. Pasture does not custody customer funds outside of the Stripe payment infrastructure.

Settlement to the producer, processor, and courier occurs Net 10 after delivery is confirmed (cold-chain custody logged and customer signature captured). Refund, chargeback, recall, weight shortfall, or food safety events occurring after settlement may result in a clawback against future settlements as described in the producer, processor, and courier agreements.

7. Title, ownership, and delivery

Title to and risk of loss for the finished product remain with the processor until the courier takes custody at the processor dock. Risk of loss during transit rests with the courier under the Courier Agreement. Title and risk of loss transfer to the customer when the courier tenders delivery, the customer signs at the door, and proof of delivery is logged. Paying the deposit or one or more monthly prepayments does not transfer title or ownership and does not create any security interest in the product.

Estimated fulfillment timeframes are shown on each listing and at checkout. Estimated dates depend on harvest scheduling, processor production capacity, courier capacity, completion of customer prepayments, and external factors such as weather and inspection availability. Pasture does not guarantee the timing of fulfillment.

8. Guaranteed minimum packaged weight

Every listing displays a guaranteed minimum packaged weight (GMPW) expressed in pounds of finished, packaged, take home beef. Bulk Protein Inventory listings have a GMPW of at least 40 pounds. The locked total price you pay at checkout corresponds to that minimum. If your delivered packaged weight is less than the GMPW, Pasture will issue a per pound credit at the listing's effective per pound rate for the shortfall, regardless of cause. Overage above the GMPW is handled per the listing's overage policy (absorb, customer billed, or producer credited), which is disclosed before checkout and locked with your order.

9. Customer obligations

You agree to provide accurate account information, a valid payment method, accurate cut and delivery preferences, and a current shipping or pickup address. You agree to be available to accept delivery on the scheduled day and to provide cold storage capacity adequate for the share you reserved. Failure to accept delivery, or to communicate delivery changes within a reasonable window, may result in redelivery fees as set forth in the Delivery Policy and may forfeit the deposit and prepayments under the Refund and Cancellation Policy.

10. Force majeure

Neither Pasture, any producer, any processor, nor any courier is liable for any delay or failure to perform that arises out of any cause beyond reasonable control, including acts of God, severe weather, drought, disease outbreaks affecting livestock, fire, flood, labor disputes, USDA inspection unavailability, governmental action, civil unrest, pandemic, telecommunications failure, or interruption of payment processing services. In such cases the parties will work in good faith to reschedule fulfillment, and the customer may elect to receive a credit toward a future order or a full refund in lieu of further delay.

11. Limitation of liability

To the fullest extent permitted by law, Pasture is not liable for the quality, condition, weight, yield, packaging, labeling, cold chain handling, transportation, timeliness, regulatory compliance, or any other aspect of producer, processor, or courier performance. Pasture is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenues, lost data, or business interruption arising out of or related to the platform, a producer, a processor, a courier, or any product. Pasture aggregate liability for any claim arising out of the platform is limited to the amount of platform fees actually received by Pasture from the transaction giving rise to the claim. These limitations apply even if a remedy fails of its essential purpose.

12. Indemnification

You agree to indemnify, defend, and hold harmless Pasture, its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense, including reasonable attorney fees, arising out of (a) your use of the platform, (b) your breach of these Terms or any applicable law, or (c) any content or information you submit through the platform.

13. Disputes, governing law, arbitration

These Terms are governed by the laws of the State of Oklahoma without regard to its conflict of laws provisions. The exclusive venue for any court proceeding permitted by this section is the state and federal courts located in McClain County, Oklahoma, and you consent to personal jurisdiction in those courts.

Any dispute, claim, or controversy arising out of or relating to these Terms, the platform, Pasture Reserve, or any transaction, that cannot be resolved through good faith discussion within thirty days, shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, with the arbitration seated in McClain County, Oklahoma. Each party waives any right to participate in a class action, collective action, or representative proceeding.

Arbitration opt out. You may opt out of the arbitration and class waiver above by emailing legal@pasturepayments.com within 30 days of first accepting these Terms with subject “Arbitration Opt Out” and your full legal name. Opt out does not affect any other provision of these Terms. Either party may seek injunctive or equitable relief in court for intellectual property infringement or misappropriation. If any portion of this section is held unenforceable, the remainder shall continue in effect.

14. Electronic signatures and notices

By creating an account and clicking to accept any agreement on the platform, you consent under the federal Electronic Signatures in Global and National Commerce Act (E SIGN) and applicable state law to do business electronically, to receive notices, disclosures, agreements, and records electronically, and to use electronic signatures. You may request a paper copy of any electronically delivered record by emailing legal@pasturepayments.com. You may withdraw electronic consent by closing your account; withdrawal does not affect transactions completed before withdrawal. Pasture maintains a versioned archive of every legal document; the version in effect when you accepted is available at /legal/archive.

15. Intellectual property

The Pasture name, logo, brand assets, software, content, and platform are owned by Pasture.Food and are protected by intellectual property laws. You receive a personal, limited, revocable, non transferable license to use the platform for its intended purpose. You may not copy, modify, distribute, sell, lease, reverse engineer, scrape, or create derivative works of the platform without Pasture written consent.

16. Account termination

Pasture may suspend or terminate any account that violates these Terms, that engages in fraudulent or abusive conduct, or that creates risk for customers, producers, processors, couriers, or the platform. You may close your account at any time. Termination does not affect any reserve order already placed, which will continue under these Terms and the Refund and Cancellation Policy in effect at the time of the order.

17. Changes

Pasture may update these Terms from time to time. Material changes will be posted on this page with a revised effective date and a published summary of changes in the versioned archive. For material changes that affect your rights, Pasture will request renewed clickwrap acceptance at your next sign in. Your continued use of the platform after the effective date constitutes acceptance.
