Independent Sales Representative Agreement

Terms for independent sales representatives that refer vendors and customers to Pasture.

1. Independent contractor engagement

Representative is engaged by Pasture as an independent contractor. Representative is not an employee, partner, joint venturer, or agent of Pasture for any purpose other than as expressly stated in Section 4.

2. Scope of services

Representative will introduce qualified vendors and customers to Pasture, provide initial education on the Pasture Reserve layaway program, and assist Pasture business development as requested. Representative does not provide legal, tax, financial, or veterinary advice on behalf of Pasture.

3. Compensation

Pasture will pay Representative the commission shown on the Representative compensation schedule, calculated on completed transactions only. Commission is earned on payment of the platform fee to Pasture and paid on the schedule shown in the compensation schedule. No commission is earned on cancelled or refunded orders.

4. Limited authority

Representative is authorized to introduce prospects and to convey published Pasture pricing. Representative has no authority to bind Pasture, to extend credit, to alter the Pasture Reserve program, to waive the deposit or any prepayment, to negotiate commercial terms with vendors beyond the published vendor program, or to make any warranty regarding any product.

5. Conduct and prohibited claims

Representative will comply with all applicable laws and the Pasture Compliance Summary, will not describe Pasture Reserve as a loan, credit, financing, or interest bearing product, and will not make any claim regarding food safety, USDA inspection, or product origin beyond the published vendor listing for the relevant vendor.

6. Marks and materials

Pasture grants Representative a personal, limited, revocable, non transferable license to use Pasture marks and approved sales materials solely for the engagement. Representative will not modify Pasture marks or create derivative materials without written approval.

7. Confidentiality

Representative will treat as confidential any non public information received from Pasture, vendors, or prospects, including pricing, customer lists, vendor onboarding pipelines, and business plans, and will use such information only to perform the services. The obligation continues for three years following termination.

8. Term and termination

The engagement begins on the effective date and continues until terminated. Either party may terminate for convenience on fourteen days written notice. Pasture may terminate immediately for cause, including breach of this Agreement, prohibited claims, or any conduct that creates risk for customers, vendors, or the platform.

9. Taxes and benefits

Representative is solely responsible for income, self employment, and other taxes on commission. Representative is not eligible for any Pasture employee benefit. Pasture will issue a Form 1099 where required by law.

10. Governing law

This Agreement is governed by the laws of the State of Oklahoma. The exclusive venue for any court proceeding is the state and federal courts located in McClain County, Oklahoma. The dispute resolution provisions in the Pasture Terms of Use are incorporated by reference.
